GENERAL INFORMATION

This website and all associated subdomains are operated by LORENGRAFF ®. Throughout the site, the terms "sites", "webs", "we", "us", "our", lorengraff.net, edu.lorengraff.net or LORENGRAFF ® refer to LORENGRAFF Technologies, Inc. Access to and use of this and other websites, including all information, tools and services available to you as a user, are conditioned upon your acceptance of all the terms, conditions, policies and notices set forth herein.

By visiting our sites and/or making a purchase, you participate in our Service and agree to the following terms and conditions (Terms of Service or simply Terms), including all additional terms and conditions, as well as the policies referenced in this document and/or those made available through hyperlinks. These Terms of Service apply to all users of the site, including, without limitation, browser users, vendors, customers, merchants and/or content contributors.

Please read these Terms of Service carefully before accessing or using our website. By doing so, you agree to be bound by these terms. If you do not agree to all the terms and conditions of this agreement, you should not access the web page or use any of the services. If the Terms of Service are deemed to constitute an offer, acceptance is expressly limited to these terms.

Any new features or tools added to the current store will also be subject to the Terms of Service. You may review the most recent version of these terms at any time on this page. We reserve the right to update, change or replace any part of the Terms of Service by posting updates and/or modifications to our website. It is your responsibility to review this page periodically to check for changes. Continued use of or access to the website after the posting of any change constitutes acceptance of such modifications.

SECTION 1 – ONLINE STORE TERMS

When using this site, you represent that you are at least the age of majority in your province or country of residence, or that you have the consent of your parent or legal guardian to allow any minor dependent to use this site.

You may not use our products for any illegal or unauthorized purpose, nor violate any law in your jurisdiction in your use of the Service (including, but not limited to, copyright laws).

You must not transmit trojans, viruses or any other malicious code of a destructive or deceptive nature.

Failure to comply with or violation of any of these Terms will result in the immediate termination of your services.

SECTION 2 – GENERAL CONDITIONS

We reserve the right to refuse to provide the Service to any person, for any reason and at any time.

You understand that your content (excluding your credit card information) may be transferred without encryption and may involve: (a) transmissions across various networks, and (b) changes to conform to or adapt to the technical requirements of network connections or devices. Credit card information is always encrypted during transmission over the networks.

You agree not to reproduce, duplicate, copy, sell, resell or exploit any part of the Service, its use or access, or any contact information on the website through which the Service is provided, without our express written permission.

The headings used in this agreement are included for convenience only and do not limit or affect these Terms.

SECTION 3 – ACCURACY, COMPLETENESS AND TIMELINESS OF INFORMATION

We are not responsible if the information available on our sites is not accurate, complete or current. The informational material on these sites is provided solely for general, educational or reference purposes and must not be used as the sole basis for making decisions without first consulting more precise, complete and up-to-date information. Any reliance placed on the content of this site is at your own risk.

This site may contain historical information. Historical information is not necessarily current and is provided for reference purposes only. We reserve the right to modify the contents of these sites at any time, but we have no obligation to update any information. You acknowledge that it is your responsibility to monitor changes to our site.

SECTION 4 – MODIFICATIONS TO THE SERVICE AND PRICES

The prices of our products are subject to change without notice.

We reserve the right to modify or discontinue the Service (or any part of the content) at any time without notice.

We will not be liable to you or third parties for any modification, price change, suspension or discontinuation of the Service.

SECTION 5 – PRODUCTS OR SERVICES

Some products or services may be available exclusively online through the website. These products or services are not eligible for return under any circumstances.

We reserve the right, although we are not obligated to do so, to limit sales of our products or services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We also reserve the right to limit the quantities of products or services we offer. All product descriptions and prices are subject to change at any time without notice and at our sole discretion. We reserve the right to discontinue any product at any time. Any product or service offering on this site will be void where prohibited.

We do not guarantee that the quality of the products, services, information or other material purchased or obtained by you will meet your expectations, nor that any error in the Service will be corrected.

SECTION 6 – BILLING ACCURACY AND ACCOUNT INFORMATION

We reserve the right to refuse any order you place with us. At our discretion, we may limit or cancel the quantities purchased per person, per household or per order. These restrictions may include orders made by or under the same customer account, the same credit card and/or orders using the same billing address.

If we make a change to or cancel an order, we will attempt to notify you by contacting you via email and/or at the billing address or phone number provided when placing the order. We reserve the right to limit or prohibit orders that, in our judgment, appear to have been placed by dealers, resellers or distributors.

You commit to providing current, complete and accurate information about the purchase and the account used for all purchases made in our store. In addition, you agree to promptly update your account and other information, including your email address, credit card numbers and expiration dates, so that we can complete your transactions and contact you when necessary.

SECTION 7 – OPTIONAL TOOLS

We may provide you with access to third-party tools that we do not monitor and over which we have no control or involvement.

You acknowledge and agree that we provide access to such tools "as is" and "as available", without warranties, representations or conditions of any kind and without any endorsement or support. We assume no responsibility arising from your use of tools provided by third parties.

Any use you make of the optional tools offered through the site is at your own risk and discretion. You must make sure that you are familiar with the terms under which these tools are provided by the respective third-party providers and accept them before using them.

We may also in the future offer you new services and/or features through the website, including the launch of new tools and resources. These new features and/or services will also be subject to these Terms of Service.

SECTION 8 – THIRD-PARTY LINKS

Certain content, products and services available through our Service may include third-party material.

Third-party links on this site may direct you to websites that are not affiliated with us. We are not responsible for reviewing or evaluating their content or accuracy, nor do we guarantee or assume any responsibility for third-party materials, products or services.

We are not liable for any damage or harm related to the purchase or use of goods, services, resources, content or other transactions carried out in connection with third-party websites. Please carefully review third-party policies and practices and make sure you understand them before participating in any transaction. Any complaint, claim, concern or question regarding third-party products must be directed to the relevant party.

SECTION 9 – USER COMMENTS, SUBMISSIONS AND OTHER SUBMISSIONS

If, at our request, you submit certain specific submissions (for example, entries in contests) or if, on your own initiative, you send us creative ideas, suggestions, proposals, plans or other materials, whether online, by email, by mail or by any other means (collectively, "comments"), you agree that we may, at any time and without restriction, edit, copy, publish, distribute, translate or use such comments through any means. We have no obligation and will have no obligation to: (1) keep any comment confidential; (2) pay compensation for the comments; or (3) respond to the comments.

We may, but are not obligated to, monitor, edit or remove content that we consider illegal, offensive, threatening, slanderous, defamatory, pornographic, obscene, objectionable or that violates the intellectual property rights of any party or the Terms of Service.

You agree that your comments will not violate any third-party rights, including copyright, trademark, privacy, personality or other personal or property rights. You also warrant that your comments do not contain any defamatory, illegal, abusive or obscene material, nor any computer viruses or other malware that could affect the operation of the Service or any related website. You may not use a false email address, impersonate another person or deceive us or third parties as to the origin of the comments. You are solely responsible for the content and accuracy of the comments you post. We assume no responsibility or obligation with respect to comments posted by you or by third parties.

SECTION 10 – PERSONAL INFORMATION

Your submission of personal information through the site is governed by our Privacy Policy. Click here to view our Privacy Policy.

SECTION 11 – ERRORS, INACCURACIES AND OMISSIONS

Occasionally, there may be information on our website or in the Service that contains typographical errors, inaccuracies or omissions relating to product descriptions, prices, promotions, offers, activation times and availability. We reserve the right to correct any error, inaccuracy or omission, as well as to change or update the information or cancel orders if any information in the Service or on any related website is inaccurate, at any time and without prior notice (even after you have placed an order).

We assume no obligation to update, correct or clarify the information in the Service or on any related website, including, without limitation, information regarding prices, except as required by law. No update or modification date applied in the Service or on any related website shall be construed as an indication that all information has been modified or updated.

SECTION 12 – PROHIBITED USES

In addition to other prohibitions set forth in the Terms of Service, use of the site or its content is prohibited for: (a) any illegal purpose; (b) soliciting others to carry out or participate in unlawful acts; (c) violating regulations, rules, international, federal, provincial or state laws, or local ordinances; (d) infringing or violating our intellectual property rights or those of third parties; (e) harassing, abusing, insulting, harming, defaming, slandering, disparaging, intimidating or discriminating on the basis of gender, sexual orientation, religion, ethnicity, race, age, nationality or disability; (f) providing false or misleading information; (g) uploading or transmitting viruses or any other type of malicious code that could compromise the functionality of the Service or any related website, other websites or the Internet; (h) collecting or tracking personal information about third parties; (i) engaging in spam, phishing, pharming, pretexting, spidering, crawling or scraping activities; (j) any obscene or immoral purpose; or (k) interfering with or circumventing the security features of the Service or any related website, other websites or the Internet.

We reserve the right to suspend use of the Service or any related website if any of these prohibitions is violated. Likewise, the misuse of our mail servers for sending unsolicited emails (SPAM) is strictly prohibited. You are responsible for any misuse by persons whom you authorize to use the corporate email.

SECTION 12.1 – MALICIOUS ACTIVITY OR ABUSE

We reserve the right to suspend, restrict or terminate, in whole or in part, the service provided to any customer whose website engages in conduct that compromises the security, integrity or stability of the server or other users. This includes, but is not limited to:

Websites compromised by malware, viruses, webshells or any other malicious code.

Excessive and unjustified use of server resources (CPU, RAM, disk, network, etc.) caused by erroneous configurations or malicious activities.

Activities resulting in the mass sending of unsolicited emails (spam), DDoS attacks, hacking attempts, cryptocurrency mining, or the execution of unauthorized automated scripts.

Upon detection of such activity, LORENGRAFF ® may take immediate preventive measures —including the temporary suspension of the service without prior notice, when it is considered that the continuation of the service represents an operational or security risk. The customer will be notified as soon as possible and must take the corrective actions necessary to restore the service.

SECTION 13 – EXCLUSION OF WARRANTIES; LIMITATION OF LIABILITY

We do not guarantee or warrant that the use of our service will be uninterrupted, punctual, secure or error-free.

We do not guarantee that the results obtained from the use of the service are accurate or reliable.

You accept that we may occasionally suspend the service for indefinite periods or cancel it at any time without prior notice.

You expressly accept that the use of the service, or the possibility of using it, is at your own risk. The service and all products and services provided through it are offered "as is" and "as available", without any representation, warranty or condition of any kind, whether express or implied. This includes, without limitation, implied warranties of merchantability, commercial quality, fitness for a particular purpose, durability, title and non-infringement.

In no event shall LORENGRAFF ®, its directors, officers, employees, affiliates, agents, contractors, suppliers, service providers or licensors be liable for damages, losses, claims or any direct, indirect, incidental, punitive, special or consequential damages of any kind. This includes, without limitation, loss of profits, revenue, savings, data, replacement costs or any other similar damage. Nor shall they be liable for any error or omission in the content, nor for any loss or damage arising from the use of the service or any content (or product) published, transmitted or made available through the service, even if the possibility of such damage was disclosed. Because certain jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, in such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

SECTION 14 – INDEMNIFICATION

You agree to indemnify, defend and hold harmless LORENGRAFF ®, its parent companies, subsidiaries, affiliates, partners, officers, directors, agents, contractors, dealers, service providers, subcontractors and employees against any claim or demand, including reasonable attorneys' fees. This applies where the claim arises from breach of the Terms of Service or the documents incorporated by reference, or from the violation of any law or third-party right.

SECTION 15 – SEVERABILITY

If any provision of these Terms of Service is considered illegal, null or unenforceable, such provision shall apply to the greatest extent permitted by law. The unenforceable portion shall be deemed severed from these terms, without affecting the validity and enforceability of the remaining provisions.

SECTION 16 – TERMINATION

The obligations and responsibilities of the parties incurred before the termination date shall survive the termination of this agreement for all legal purposes.

These Terms of Service shall remain in effect until you or we terminate them. You may terminate these terms at any time by notifying us that you no longer wish to use our services, provided that you have no outstanding commitments, or simply by ceasing to use our website.

If, in our judgment, you breach these Terms of Service or we suspect that you have breached any provision thereof, we may terminate this agreement at any time without prior notice. You will remain responsible for all amounts owed up to the termination date, and we may deny you access to our services (or any portion thereof).

SECTION 17 – ENTIRE AGREEMENT

Our failure to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

These Terms of Service, together with the policies and rules posted on our website, constitute the entire agreement between you and us with respect to the use of the service. This agreement supersedes any prior communication, proposal or agreement, whether oral or written, between you and us (including, but not limited to, earlier versions of the Terms of Service).

Any ambiguity in the interpretation of these Terms of Service shall not be construed against the party that drafted them.

SECTION 18 – GOVERNING LAW

These Terms of Service and any separate agreement under which we provide services to you shall be governed by and construed in accordance with the laws of the Dominican Republic.

SECTION 19 – CHANGES TO THE TERMS OF SERVICE

You may review the most current version of the Terms of Service at any time on this page.

We reserve the right, in our sole discretion, to update, modify or replace any part of these Terms of Service by posting updates and changes on our website.

It is your responsibility to review our website periodically to become aware of any changes. Continued use of our services or access to our website after the posting of any changes to these terms constitutes acceptance of such modifications.

SECTION 20 – PAYMENTS, BILLING AND LATE FEES

All payments made through PayPal, credit or debit card are subject to an additional fee of 5.4% + $0.55 USD.

Payments made with Bitcoin may be subject to an additional fee of up to 4% per transaction.

If you use our services and fail to make payment on time, you accept that, 7 days after the invoice due date, a late payment fee of 10% of the outstanding amount will be applied. In addition, you understand that if payment is not received, your services will be suspended. If 2 months pass without receiving any payment, the services will be deleted along with all information stored on our servers.

By accepting these terms, you acknowledge that, in the event of suspension or deletion of services due to nonpayment, you will not take any legal action against us for any losses resulting from the suspension or deletion of your information.

SECTION 20.1 – LORENGRAFF BUSINESS PLATFORM AND SUBSCRIPTIONS

LORENGRAFF Business (business.lorengraff.net) is our monthly-subscription digital management service for businesses: management of the Google Business Profile listing, responding to reviews, Google Analytics reports, social media posts, WhatsApp support and website monitoring, depending on the plan selected. The scope and price of each plan are published at business.lorengraff.net/planes.

• The subscription is charged in advance each month through PayPal and automatically renews until canceled.
• You may cancel at any time from your PayPal account or by writing to us; the cancellation takes effect at the end of the paid period and does not generate prorated refunds.
• If a payment fails, the service enters a pending payment status and Section 20 applies.
• Monthly allowances for updates or posts included in each plan do not accumulate.

SECTION 20.2 – INTEGRATIONS WITH GOOGLE, META AND OTHER THIRD PARTIES

To provide the service, you may authorize us to access your Google accounts (Business Profile and Analytics), Meta accounts (Facebook, Instagram and WhatsApp Business), or other platforms. By doing so:

• You declare that you own those accounts or are authorized to administer them.
• We will act on them only for the tasks under the contracted service, in accordance with our Privacy Policy, including the Google API Services User Data Policy.
• You may revoke access at any time. Without such access, tasks that depend on it cannot be performed.
• Use of those platforms is also governed by the terms of their providers. We are not responsible for changes, suspensions or decisions by Google, Meta or other third parties regarding your accounts, listings or posts.
• Content you provide us for publication (text, images, logos, prices) must be truthful and must not infringe third-party rights; you are responsible for it.

SECTION 21 – CONTACT INFORMATION
